User Agreement
This User Agreement is a contract between you and Green Pay and applies to your use of the Green Pay website and Green Pay services. You must read, agree with, and accept all terms and conditions contained in this Agreement.
Green Pay reserves the right to modify the Terms and Conditions of this Agreement at any time. Any such modification will be binding and effective immediately upon posting of the revised Agreement on the website. If the modified version contains a Substantial Change, we will provide you with 30 days' prior notice of any Substantial Change by posting the notice on the Green Pay website. Your continued use of this site constitutes agreement to any modification of the terms and conditions of this Agreement.
This site and its original content, features, and functionality are owned by Green Pay and Third Millennium and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
All copyright, trademarks, design rights, names, logos, service marks, patents, and other intellectual property rights (registered and unregistered) in and on Green Pay and Green Pay content are registered and unregistered trademarks of the website owner. Green Pay reserves all rights in Green Pay Content and Green Pay Online Payments Services. Nothing contained on this website should be construed as granting any right or license to use any trademark, design right, or copyright without the prior written permission of the website owner. The written content displayed on this website is owned by its respective author and may not be reproduced in whole, or in part, without the express written permission of the author.
1. Definitions
ACH - Automated Clearing House network
Account - Personal or Business Green Pay account
Administrator – A specific staff member at the municipality who is assigned admin-level privileges and is responsible for, among other things, managing profile-specific information for users.
Affiliate or Affiliated Company - Companies that are direct or indirect subsidiaries of Green Pay or Third Millennium, or are otherwise related to Green Pay through common ownership or control.
Agreement - This Agreement including all subsequent amendments
Authorize or Authorization - Your express authorization to a company or agency to collect payment through Green Pay.
Business Days - Monday through Friday, excluding Holidays.
Client – Any individual, entity or governmental body contracted with Green Pay and/or Third Millennium to provide services to which this User Agreement and associated Privacy Policy apply.
Communications - Any Account, Green Pay Account, or transaction information that Green Pay provides to you, including agreements and policies you agree to, including updates to agreements or policies, disclosures, transaction receipts or confirmations, statements and history, and any federal or state tax statements Green Pay is required to make available to you.
Confirmed Address - An address that has been reviewed by Green Pay and found highly likely to be that of the User to which it is associated.
Handling Fee - This is a fee that Clients may choose to collect from users for financial transactions.
Customer Service - For all customer service requests, please contact your municipality directly during regular business hours.
Days - Calendar days unless specified to mean Business Days
Green Pay, we, us, our - Means Green Pay and its subsidiaries and affiliates or any agent acting on their behalf.
Green Pay Services - All products, services, features, technologies, and functionalities offered by Green Pay on our website or through any other means.
Holidays - New Year's Day, Memorial Day, Independence Day, Labor Day, Veterans Day, Thanksgiving Day, and Christmas Day.
Information - Any confidential and/or personally identifiable information or other information related to an Account or User, including, but not limited to: name, e-mail address, date of birth, social security or tax identification number, if user pot into the auto pay system, billing address, phone number, bank routing number, bank account number, service address and other relevant information.
Payment Method - The payment method used to fund a transaction.
Policy or Policies - Any Policy or other agreement between you and Green Pay that you entered into on the Green Pay website, or in connection with your use of Green Pay, or affiliate services.
Remittance Receipt - The receipt that is displayed on the screen and/or e-mailed to the sender after the sender submits payment for remittance.
Substantial Change - A change to the terms of this Agreement that reduces your rights or increases your responsibilities.
User, you - Any person or entity using the Green Pay website or Green Pay services including you.
2. Electronic Communications.
You agree and consent to receive electronically all communications, agreements, documents, notices, and disclosures that we provide in connection with your Green Pay account and your use of Green Pay services. These communications will be provided to you by Green Pay posting them on the Green Pay website and/or by e-mailing them to you at the primary e-mail address you have provided to Green Pay.
2.1. Hardware and Software requirements.
Because computer technologies rapidly change, we are not able to guarantee that GreenPay Services will function flawlessly on all systems. Newer technologies tend to offer better experiences, so we endeavor to stay up-to-date with the newest versions of each system. Likewise, older versions will eventually become unsupported. Below is a list of software that should function as expected with GreenPay Services.

- Latest stable version of Firefox (recommend at least version 60)
- Microsoft Edge (recommend at least version 40)
- Mac (MacOS version 10.12 or higher)

- Safari 12 or higher
- Android (recommend OS version 7/Nougat or higher)
- Apple iOS (recommend iOS version 12 or higher)
Regardless of browser or operating system, please ensure the following browser settings are correct: Enable Javascript, enable cookies, disable popup blockers.
2.2. Withdrawing Consent.
You may withdraw your consent to receive communications electronically by contacting your municipality. If you fail to provide or if you withdraw your consent to receive Communications electronically, Green Pay reserves the right to restrict or terminate your Account or charge additional fees for paper copies.
2.3. Updating your Contact Information.
It is your responsibility to keep your e-mail address up to date so Green Pay can communicate with you electronically. You understand and agree that if Green Pay sends you an electronic communication but you do not receive it because your e-mail address on file is incorrect, out of date, blocked by your service provider, or you are otherwise unable to receive electronic communications, Green Pay will be deemed to have provided the communication to you. If you use a spam filter that blocks or re-routes e-mails from addresses not in your e-mail address book, please add Green Pay to your e-mail address book so you will be able to receive the communications sent to you by Green Pay.
3. Green Pay's Relationship with You.
3.1 Green Pay is a Payment Service Provider.
Green Pay helps you make payments to third parties. Green Pay is an independent contractor for all purposes and is not your agent or trustee. Green Pay does not have control of or liability for the services or products paid for through Green Pay Services. Green Pay services are strictly transactional.
3.2 Assignment.
You may not transfer or assign any rights or obligations under this Agreement to any other party without obtaining prior written consent from Green Pay or its affiliates. Green Pay reserves the right to transfer or assign this Agreement or any obligation under this Agreement at any time.
3.3 Password Security.
You are responsible for maintaining adequate security and control of any and all IDs, passwords, personal identification numbers (PINs), or any other codes that you use to access the Green Pay Services. You are responsible for keeping your mailing address and e-mail address up to date in your Account Profile. Users are able to update and correct their user profile information. Bank account and billing account information can be deleted by user. Profile specific information can only be deleted by an Administrator.
3.4 Notices to You.
You agree that Green Pay may provide you communications about your Account and Green Pay Services electronically as described under Section 2, above. Electronic communications will be considered received by you 24 hours after such time that Green Pay sends the communications to you via e-mail at the then current e-mail address associated with your account, or such time that Green Pay posts the communications on the Green Pay website. Any communications sent to you via U.S. Postal Service shall be deemed received by you three (3) business days after it is sent to you at the then current mailing address associated with your account.
3.5 Notices to Green Pay.
Except as otherwise stated within this Agreement, all notices relating to Green Pay service must be sent by United States Postal Service to your municipality.
3.6 Telephone Calls.
By providing a telephone number to Green Pay (including a mobile telephone number), you hereby agree that Green Pay may place autodialed and prerecorded phone calls to that telephone number. If the telephone number you provide is a mobile telephone number, you agree to receive SMS or text messages from Green Pay to that number. Green Pay will not share your phone number with non-affiliated third parties without your consent, but may share your phone number with our affiliated companies or our service providers. Standard telephone minute and text or data charges may apply if we contact you.
3.7 Recording Calls.
You understand and agree that Green Pay may, without further notice and in its sole discretion, monitor or record telephone conversations with you or anyone acting on your behalf with Green Pay or its representatives for quality control and training purposes or for Green Pay's own protection. You further acknowledge and understand that not all telephone lines or calls may be recorded by Green Pay, and that Green Pay does not guarantee that recordings of any particular telephone calls will be retained or retrievable.
4. Accounts.
In order to use Green Pay Services, you must be at least 18 years of age and a resident of the United States.
4.1 Identity Authentication.
You hereby authorize Green Pay, its affiliates and subsidiaries, either directly or through third parties, to inquire as we deem necessary to validate your identity. This authentication may include requesting further information that will allow us to reasonably identify you, requiring you to confirm ownership of your e-mail address, ordering a credit report, or verifying your information against a third party database or other source. Green Pay may also ask for identifying documents at any time. If you use certain Green Pay services, federal law may require verification of some of your personal information. Green Pay reserves the right to terminate, suspend, or limit access to your account and Green Pay services in the event we are unable to verify this information.
4.2 Third Party Permission.
If you grant express permission to a third party to take specific action on your behalf or access information regarding your account through your use of the third party's product or services or through your Green Pay account, you acknowledge that Green Pay may disclose the information about your account that is specifically authorized by you to the third party. You further acknowledge that your granting permission to third parties to take actions on your behalf does not relieve you of any responsibilities under this Agreement. You further agree not to hold Green Pay responsible for and indemnify Green Pay from any liability arising from the action or inaction of third parties in connection with permissions you have granted. You may change the settings in your account at any time to modify or remove permissions given to third parties.
5. Payments.
5.1 Bank Transfers.
When a bank account is used as a payment method for any transaction, you are requesting an electronic transfer from your bank account. Green Pay will make electronic transfers from your bank account via ACH in the amount you specify. You agree that such requests constitute your authorization to Green Pay to make the transfers. Once you have authorized such transfers, you will be unable to cancel the transfers.
5.2 Preapproved Payments.
A preapproved payment is a payment wherein you have authorized a company or agency to charge your account on a one-time, regular, or sporadic basis. Preapproved payments may also be referred to as "recurring payments", "automatic payments", or "preauthorized transfers". You will receive a confirmation of any preapproved payment by e-mail within 2 Business Days of the transfer.
a. Stop Preapproved Payments. You have the right to stop preapproved payments any time up to three (3) Business Days prior to the next scheduled payment by notifying Green Pay and the third party to whom the payment is being made. To stop preapproved payments by notifying Green Pay, you must access the stop payment section of your Green Pay Account. At such time as a preapproved payment is stopped, all future payments will be stopped until you re-approve the payments.
5.3 Debit Card Processing.
Green Pay will process your debit card funded payments through either the ATM debit network or the Visa/MasterCard network. Any required currency conversions will be performed by Visa, MasterCard, or similar third party and may be subject to a conversion fee by that party.
5.4 Fees Charged to Green Pay Users.
Green Pay does not charge fees to its users. Any fees charged to users are charged only by the third parties collecting the funds. There are configuration options that allow our Clients to add a "handling fee" to the transaction which essentially passes our transaction fee on to the user. The "handling fee" is collected by our Clients, not by Green Pay or Third Millennium Associates.
6. Termination
6.1 How to Terminate.
If you no longer wish to have a registered account, you may terminate your account at any time by contacting your municipality. If you no longer accept these terms and conditions, or any future modification to these terms and conditions, you must cease using the Green Pay site. Continued use of the Green Pay site indicates your continued acceptance of these terms and conditions. Upon termination of your account, all pending transactions or payments will be cancelled.
6.2 How we Terminate your Account.
We may terminate your access to this site, without cause or notice, which may result in the forfeiture and destruction of all information associated with you. All provisions of this Agreement that by their nature should survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
a. If, for any reason, we believe that you have not complied with these terms and conditions, we may, at our sole discretion, cancel your access to the registration areas of the Green Pay site immediately and without prior written notice.
b. We may terminate your registered account, at our sole discretion, by e-mailing you at the address you have registered stating that the agreement has terminated.
6.3 Dormant Account.
If you do not log in to your account on the Green Pay website at least once per calendar year, Green Pay may terminate your account.
7. Restricted Activities.
In connection with your use of the Green Pay website, your account, Green Pay Services, or interactions with Green Pay affiliates or third parties, you will not:
a. Breach this or any other agreement between you and Green Pay;
b. Violate any law, statute, ordinance, or regulation;
c. Infringe upon any Green Pay or third party copyright, patent, trademark, trade secret, intellectual property rights, rights of publicity, or rights to privacy;
d. Act in a manner that is defamatory, libelous, threatening, or harassing;
e. Provide false, inaccurate, or misleading information;
f. Send funds reasonably believed by Green Pay to be fraudulent;
g. Refuse to cooperate in an investigation or provide confirmation of your identity;
h. Use your account or Green Pay services in a manner that Green Pay, Visa, MasterCard, American Express, Discover, or any other electronic funds network reasonably believes to be an abuse of the card system or a violation of card association or network rules;
i. Take any action that imposes an unreasonable risk to our infrastructure, facilitate any viruses or other programs that may damage, detrimentally interfere with any system, data, or information; use any device, software, routine, or manual process to monitor or copy our website without prior written permission; or interfere or attempt to interfere in any way with our website or Green Pay services;
j. Take any action that may cause us to lose any service providers, payment processors, or suppliers;
k. Harass our employees, affiliates, agents, or other users.
8. Your Liability.
You are responsible for all payment reversals, fees, fines, penalties, and other liability incurred by Green Pay or a third party caused by or arising out of your breach of the terms of this Agreement or any other Agreement between you and Green Pay. You agree to reimburse Green Pay or a third party for any and all such liability.
9. Actions by Green Pay.
If Green Pay, in its sole discretion, believes that you may have engaged in any Restricted Activities, we may take various actions to support Green Pay, other third parties, or you from payment reversals, fees, fines, penalties, or any other liabilities, including but not limited to:
a. Termination of your account, access to the website, or access to the Green Pay services for any reason and at any time upon notice to you;
b. Contact your bank or credit card issuer, law enforcement, or impacted third parties;
c. Update inaccurate information you have provided;
d. Refuse to provide Green Pay services to you in the future;
e. Take legal action against you;
f. Release your user information to registered legal authorities;
10. Green Pay's Liability.
You agree that Green Pay's entire liability, and your exclusive remedy, with respect to any services provided under this Agreement, and any breach of this Agreement is solely limited to the amount you paid for such services. Green Pay shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use any Green Pay services or for the cost of procurement of substitute services.
11. Disputes.
You and Green Pay agree that any claim or dispute at law or equity that has arisen or may arise between us will be resolved in accordance with the provisions set forth in this Section 11.
11.1 Contact Your Municipality.
If any dispute arises between you and Green Pay, it is our intention to learn about and address your concerns in a timely manner. Disputes may be reported to your municipality during regular business hours
11.2 Applicable Law.
These Terms and Conditions shall be governed in all respects by the laws of the United States of America and the laws of the State of Illinois. Each of the parties irrevocably consents to the exclusive personal jurisdiction of the federal and state courts located in Illinois, as applicable, for any matter arising out of or relating to this Agreement, except that in actions seeking to enforce any order or any judgment of such federal or state courts located in Illinois, such personal jurisdiction shall be nonexclusive.
11.3 Agreement to Arbitrate.
You and Green Pay each agree that any and all disputes or claims that have arisen or may arise between you and Green Pay shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court, if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.
a. Arbitration is less formal than legal proceedings in court. Arbitration involves a neutral arbitrator instead of a judge or jury, and court review of arbitration awards is limited. An arbitrator can award the same damages and relief that a court can award. An arbitrator must follow the terms of this User Agreement as a court would. This arbitration will be conducted by the American Arbitration Association ("AAA"), under its rules and procedures. The AAA's rules are available at www.adr.org.
The arbitration shall be held in a mutually agreed location. If the relief sought is less than $10,000 the parties may elect to conduct the arbitration by telephone or based solely upon written submissions.
The arbitrator will decide the substance of all claims in accordance with the laws of the State of Illinois. The arbitrator shall not be bound by rulings in prior arbitrations involving other parties, but is bound by rulings in prior arbitrations involving the same Green Pay user to the extent required by applicable law. The arbitrator's award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
b. Costs. Payment of all filing, administration, and arbitration fees will be governed by the AAA's rules. In the event the arbitrator determines the claim(s) you assert in the arbitration to be frivolous, you agree to reimburse Green Pay for all fees associated with the arbitration paid by Green Pay
c. Severability. If a court decides that any part of this Agreement to Arbitrate is invalid or unenforceable, the other parts of this Agreement to Arbitrate shall still apply. The remainder of this User Agreement, including all other provisions of Section 11, will continue to apply.
d. Opt Out. You may opt out of this Agreement to Arbitrate by mailing your municipality a written notice to opt out. Your opt out notice must be postmarked no later than thirty (30) days after the date you accepted the User Agreement for the first time and mailed to your municipality. Your opt out notice must state that you do not agree to this Agreement to Arbitrate and must include your name, address, phone number, and the e-mail address you use to log in to the Green Pay website or services. You must also sign the Opt Out Notice.
e. Future Modifications. Notwithstanding any other provisions of the User Agreement, you and Green Pay both agree that if Green Pay makes any modifications to the Arbitration Agreement, that change shall not apply to any claim that was filed prior to the effective date of the change. Moreover, if Green Pay seeks to terminate the Arbitration Agreement, any such termination shall not be effective until thirty (30) days after the modified version of the User Agreement is posted to the Green Pay website and shall not be effective as to any claim that was filed prior to the effective date of the change.
11.4 No Waiver.
Green Pay's failure to act with respect to any breach by you or others does not waive Green Pay's right to act with respect to subsequent or similar breaches.
11.5 Indemnification.
You agree to defend, indemnify, and hold Green Pay, our affiliates, officers, directors, agents, employees, supplies, and third parties harmless from any claim or demand made or incurred by any third party due to or arising out of your breach of this Agreement, your improper use of the Green Pay website or services, and/or your violation of any law or the rights of a third party.
12. General Provisions of the User Agreement.
12.1 Modification to the Use Agreement.
Green Pay reserves the right to modify the Terms and Conditions of this Agreement at any time. Any such modification will be binding and effective immediately upon posting of the revised Agreement on the website. Your continued use of this site constitutes agreement to any modification of the terms and conditions of this Agreement.
12.2 Limitations of Liability.
In no event shall Green Pay, our parent, affiliates, officers, directors, agents, employees, and suppliers be liable for any special, incidental or consequential damages arising out of or in connection with our website, Green Pay services, or this Agreement. Our liability to you or any third party in any circumstance is limited to the actual amount of direct damages to the extent permitted by applicable law. You agree not to hold any affiliates or other third parties responsible for any damages or losses resulting directly or indirectly from (1) your use of or your inability to use Green Pay's sites and services; (2) delays or disruptions in Green Pay's sites and services; (3) viruses or other malicious software obtained by accessing Green Pay's sites or services or any site or service linked to Green Pay's sites or services; (4) glitches, bugs, errors, or inaccuracies of any kind in Green Pay's sites or services, or in the information and graphics obtained from them; (5) the content, actions, or inactions of third parties; (6) a suspension or other action taken with respect to your account; (7) your need to modify practices, content, or behavior, or your loss of or inability to conduct transactions, as a result of changes to this User Agreement or Green Pay's Policies. Green Pay reserves the right to modify its policies and this User Agreement at any time consistent with the provisions outlined herein.
12.3 No Warranty.
Green Pay services are provided "AS IS" and without any representation of warranty, whether express, implied, or statutory. Green Pay, our affiliates, parent, officers, directors, agents, employees, and suppliers specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. Green Pay does not guarantee continuous, uninterrupted, or secure access to any part of the Green Pay services, and operation of our site may be interfered with by numerous factors outside of our control. Green Pay will make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts, credit cards, and check issuances are processed in a timely manner, but Green Pay makes no representations or warranties regarding the amount of time needed to complete processing because the Green Pay services are dependent upon many factors outside of our control.
12.4 License Grant.
If you are using Green Pay software that you have downloaded to your computer, device, or other platform, then Green Pay grants you a revocable, non-exclusive, non-transferable license to use Green Pay's software in accordance with the Agreement. You may not rent, lease, or otherwise transfer your rights in the software to a third party. You must comply with the implementation and use requirements contained in all Green Pay documentation accompanying the Green Pay website and services. Green Pay may change or discontinue any license upon notice to you. You agree not to alter, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile, or otherwise attempt to create any source code that is derived from the software. You acknowledge that all rights, title, and interest to Green Pay software are owned by Green Pay. Green Pay does not own, control, nor have any responsibility or liability for any third-party software application you elect to use while accessing Green Pay website or services.
12.5 Complete Agreement.
This Agreement, along with any applicable policies and agreements on the Green Pay website, sets for the entire understanding between you and Green Pay with respect to the Green Pay website and services. Unless stated otherwise in this Agreement, if any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
Privacy Policy
This Privacy Policy describes your privacy rights regarding our collection, use, storage, sharing and protection of your personal information. It applies to the Green Pay website and all related sites, applications, services, and tools regardless of how you access or use them.
Scope and Consent
You accept this Privacy Policy when you sign up for, access, or use our products, services, content, features, technologies or functions offered on our website and all related sites, applications, and services (collectively "Green Pay Services"). We may amend this policy at any time by posting a revised version on our website. The revised version will be effective at the time we post it.
Collection of Personal Information
We collect the following types of personal information in order to provide you with the use of and access to our sites, applications, services, and tools, and to help us personalize and improve your experience:
Information we collect automatically: When you register for a Green Pay account, your user profile is updated, a contact form is utilized, you visit the Green Pay website, pay a bill or use any other Green Pay Service, we collect information sent to us by your computer, mobile phone, or other access device. The information sent to us includes but is not limited to the following: data about the pages you access, computer IP address, device ID or unique identifier, device type, geo-location information, computer and connection information, mobile network information, statistics on page views, traffic to and from the sites, referral URL, ad data, standard web log data and other information.
Information you provide to us: We may collect and store any information you enter on the Green Pay website or you provide to us in the context of using our site, applications, services, or tools. If you open a Green Pay account or use Green Pay services, we may collect the following information:
- Contact information (name, address, phone, e-mail, and other similar information)
- Financial information (credit card numbers, full bank account information, routing number, account number, service address, etc.)
- Detailed personal information (date of birth, social security number, etc.)
- Notification when a user opts into the auto pay system
We may also collect information from or about you in other ways such as through your contact with our customer support or interaction with members of Green Pay or other affiliated companies. Additionally, for quality and training purposes or for its own protection, Green Pay may monitor or record its telephone conversations with you or anyone acting on your behalf. By communicating with Green Pay, you acknowledge that your communication may be overheard, monitored, or recorded without further notice or warning.
Information from other sources: We may also obtain information about you from third parties such as credit bureaus and identity verification services.
Authentication and Fraud Detection: In order to help protect you from fraud and misuse of your personal information, we may collect information about you and your interactions with our website or Green Pay services. We may also evaluate your computer, mobile phone, or other access device to identify any malicious software or activity.
How We Use the Information
Our primary purpose in collecting personal information is to provide you with a secure, smooth, and efficient bill paying experience. We may use your personal information to provide Green Pay Services and customer support, process transactions and send notices regarding your transactions, resolve disputes, collect fees, troubleshoot problems, prevent potentially prohibited or illegal activities, enforce our User Agreement, customize, measure, and improve Green Pay Services, deliver targeted marketing, service update notices, and promotional offers based on your communication preferences, contact you via voice call or through text messaging or e-mail messaging as authorized by the User Agreement, compare information for accuracy, and verify information with third parties.
Currently, the information being collected is used only for the purposes of allowing the user to access the Green Pay system and pay bills. Green Pay currently functions only as a way to pay funds to third parties. Green Pay account activity is strictly transactional.
To process your payments, we may share some of your personal information with the company or agency that you are paying. Your contact information and whether we have verified your control of a bank account is provided to the company or agency that you are paying. This and other information may also be shared with third parties when you use these third parties to access Green Pay Services. The third parties are not allowed to use the information for any purpose other than to enable Green Pay Services unless you have authorized other uses of your information.
These third parties may be in other countries where the laws on processing personal information may be less stringent than in the United States. It is your responsibility to read the Privacy Policy of any third parties with whom you conduct business.
If an attempt to pay fails or is later invalidated, we may provide the company or agency with details of the unsuccessful payment.
Please note that the companies or agencies with which you are doing business have their own privacy policies.
